1. Who you are contracting with
These Website Terms of Use (the "Terms") govern your use of xpn.ai and its subpages (the "Site"). The Site is operated by Nexus Innovations Group, Inc., a Delaware corporation with its principal place of business at 800 Jasper Ave, Franklin, TN 37064, United States, trading as XPN ("XPN", "we", "our", "us").
By using the Site you agree to these Terms. If you do not agree, do not use the Site.

3. Permitted use of the Site
You may view the Site, read its content, and submit enquiries through the forms we provide. You may not:
• Access the Site by automated means, including scraping, crawling beyond ordinary search-engine indexing, or bulk downloading
• Reverse engineer, probe, or test the vulnerability of the Site or circumvent any access control
• Interfere with the operation of the Site or impose an unreasonable load on it
• Use the Site to transmit unlawful, infringing, or harmful material
• Misrepresent your identity or affiliation when submitting an enquiry
4. Our content
The Site and its content, including text, graphics, layout, and software, are owned by XPN or its licensors and are protected by intellectual property laws. Viewing the Site does not transfer any right in that content. You may not reproduce, distribute, modify, or create derivative works from Site content without our prior written consent, other than incidental copying inherent in ordinary browsing.
XPN, and the XPN logo, are marks of Nexus Innovations Group, Inc. All other marks appearing on the Site belong to their respective owners.
5. Amazon and third-party marks
Amazon, Amazon Ads, Amazon Marketing Cloud, Selling Partner API, and related marks are trademarks of Amazon.com, Inc. or its affiliates. XPN is an independent software provider and is not endorsed or sponsored by Amazon unless expressly stated through an authorised program designation.
6. Enquiries and submissions
Information you submit through a form on the Site, or send to a contact address published on the Site, is handled in accordance with the Privacy Policy. You confirm that you are entitled to share the information you submit.
Unless we have agreed otherwise in writing, an unsolicited submission does not create a confidentiality obligation on our part and does not create a business relationship. Do not send us confidential or proprietary information through the Site.
7. No reliance
Site content is general information about XPN and its services. It is not professional, legal, financial, or advertising advice, and it is not an offer capable of acceptance.
Any performance figures, case examples, or customer results shown on the Site describe particular circumstances. They are illustrative and are not a prediction or guarantee of the results any other organisation will achieve.
8. Availability of the Site
The Site is provided on an as available basis. We do not commit to any level of availability, and we may change, suspend, or withdraw the Site or any part of it at any time. Availability commitments for the XPN platform, where any exist, are set out in the applicable customer agreement.
9. Links to other websites
The Site may link to websites operated by others. We do not control those websites, do not endorse them, and are not responsible for their content, their products, or their handling of your information.
10. Limitation of liability
To the maximum extent permitted by law, XPN excludes all liability for indirect, incidental, special, consequential, and exemplary loss, and for loss of profit, revenue, goodwill, business, or data, arising from your use of the Site.
XPN's total aggregate liability arising from or in connection with the Site and these Terms shall not exceed one hundred United States dollars (USD 100).
Nothing in these Terms limits liability for fraud, for death or personal injury caused by negligence, or for any other liability that cannot lawfully be limited.
These Terms do not limit, expand, or vary any right or obligation under an End User License Agreement or other signed agreement between XPN and a customer. Where such an agreement applies, that agreement governs.
11. Changes to these Terms
We may update these Terms. The current version is always published at xpn.ai/terms with the date it took effect. Continued use of the Site after a change takes effect constitutes acceptance of the revised Terms.
12. Governing law
These Terms are governed by and construed in accordance with the substantive laws of the State of Delaware, without regard to its conflict of laws principles. Any action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state courts located in Wilmington, Delaware, or the United States District Court for the District of Delaware, and you submit to the exclusive jurisdiction and venue of those courts.
Where you access the Site as a consumer resident in the European Economic Area or the United Kingdom, this clause does not deprive you of the protection of the mandatory laws of your country of residence.
